IPS AGM 2025 Notice and Agenda

This is an opportunity to share your views about our current operations and future direction.

Registration: From 10:15 am
Time: The Ithacan Philanthropic Society “The Ulysses” meeting will commence at 11.00 am followed by the Ithacan Historical Society meeting.

Appointing a proxy

A proxy will represent you and vote on your behalf if you are unable to attend the meeting.

Complete the Proxy Form and return by mail to The Secretary, PO BOX 311, Balwyn North 3104 or email secretary@ithaca.org.au. The Proxy Form must be received prior to the AGM by 11.00 am, Friday 23 May 2025.

Late proxies will not be accepted.

Attending online via Zoom

Participants who wish to participate online must register on Zoom their intent to attend the AGM online by clicking the following Registration link. Registrations must be received prior to the AGM by 11.00 am, Friday 23 May 2025. Online participants will be able to (a) view proceedings and (b) raise comments or questions via Chat on Zoom but there will be no online voting. To vote, online participants will need to submit a Proxy Form.

Additional guidelines for participating online will be forward to all registered participants prior to the AGM.

Submitting Other Business (IPS Only)

In accordance with the Ithacan Philanthropic Society “The Ulysses” constitution, members may submit Other Business at the IPS AGM. Members must send a notice of intention to submit Other Business in writing to the IPS Secretary at secretary@ithaca.org.au no later than 11:00 am, 18 May 2025.

Other Business submitted by members will be considered in General Business and may be taken on notice.

Reminder: Financial members only are eligible to attend and vote at the AGMs or appoint a proxy. Please ensure your 2025 membership fee has been paid by 11:00 am, Friday 23 May 2025 to be eligible. Payment of membership fees will not be accepted on the day of the AGM.

    The 2024 Annual Report, circulated to members prior to the AGM, will be tabled at the meeting.

  8. Treasurer’s Report

    Special Purpose Financial Statements, Directors’ Report and Internal and External Auditors’ Reports will be tabled at the meeting.

  9. Appointment of External Auditor for 2025

    The meeting will be asked to ratify the appointment of Carl Nunan of Nunan Business Services as the external auditor. Carl Nunan has undertaken the Society’s external auditing for a number of years and has executed his work with due diligence and professionalism. The Executive Committee recommends his continued employment as the Society’s external auditor for 2025.

  10. Appointment of Internal Auditors for 2025

    The meeting will be asked to ratify the appointment of internal auditors pending receipt of nominations prior to the AGM.

  11. Appointment of Directors for 2025 - 2027

    The meeting will be asked to ratify the appointment of three directors Costa Kaimakamis, Tania Soulis and Eugenia Vlass-Tsalikis.

    Tania Soulis and Eugenia Vlass-Tsalikis have offered themselves for re-appointment for a further two-year term (2025 - 2027). Costa Kaimakamis has offered to fill the third position left by the retirement of Spyridoula Digaletou Coutsouvelis from the position.

    The Executive Committee considers the individuals to be independent and free from any business or other relationship that could materially interfere with, or could reasonably be perceived to materially interfere with, the independent exercise of their judgment.

    Where the number of nominations for election to the Executive Committee exceeds the number of members to be elected, the meeting will seek nominations for the appointment of an Election Committee of five members to conduct the election.
